“LLC” stands for limited liability company and is the most common type of formal business entity. Unlike a sole proprietorship, a limited liability company can protect your personal assets from business creditors. This is the most popular advantage of creating an LLC, but there are several other reasons why people choose to form LLCs for their businesses:

  • They protect your business name in your state. Once you file, no one else can have a business with exactly the same name in that same state. However, this is not the same amount of protection as trademark registration. In addition, just because the state allows you to file an LLC with a certain name does not mean that you are not infringing on someone else’s trademark. Always conduct a proper trademark search before choosing a business name.
  • There are fewer requirements than a corporation. There are very few formal requirements of an LLC after formation, unlike corporations that have to file yearly reports, hold special meetings, and possibly pay yearly fees to the state. For many small businesses, creating a corporation is more work than it’s worth.
  • They offer tax flexibility. LLCs can be taxed in several ways. First, they can be taxed as a disregarded entity, sometimes called a pass-through entity. This means it is taxed almost exactly like a sole proprietorship and done with your personal taxes. You can also elect to have your LLC taxed as an S-corp or a C-corp. However, most small businesses choose to stay as a disregarded or pass-through entity.
